PURCHASE AGREEMENT AND TERMS OF SALE
Floor Design Studio, LLC
Please read these Terms of Sale carefully. By signing Seller’s Proposal or Quotation, issuing a Purchase Order, making any payment, approving samples, authorizing production, or otherwise instructing Floor Design Studio, LLC («Seller») to proceed with an order, Buyer acknowledges that these Terms of Sale form a binding agreement between Buyer and Seller.
1. ENTIRE AGREEMENT
These Terms of Sale, together with Seller’s Proposal, Estimate, Quotation or Invoice, constitute the entire agreement between Buyer and Seller and supersede all prior discussions, emails, representations, proposals or understandings. No modification shall be binding unless made in writing and signed by Seller.
Electronic approvals, emailed authorizations, electronic signatures, purchase orders and payments shall constitute acceptance of these Terms.
2. SPECIAL ORDER MATERIALS
Buyer acknowledges that the products supplied by Seller are frequently imported, custom manufactured, specially finished, allocated from limited production runs or otherwise procured specifically for Buyer’s project.
Upon receipt of Buyer’s deposit, Seller immediately commits production capacity, allocates inventory, places binding purchase orders with manufacturers, reserves freight, and incurs financial obligations on Buyer’s behalf.
Accordingly:
All orders are final.
Deposits are earned upon receipt and are non-refundable.
Orders may not be cancelled without Seller’s written consent.
Cancellation of the project, financing issues, construction delays, design revisions, changes by the architect or designer, permitting delays, scheduling conflicts, sale of the property, or Buyer’s decision not to proceed shall not entitle Buyer to a refund of any deposit or payment previously made.
3. PAYMENT TERMS
Payment shall be made in accordance with Seller’s Proposal or Invoice.
Unless otherwise agreed in writing:
Fifty percent (50%) of the purchase price is due upon acceptance of the order.
The remaining balance is due prior to shipment or release of materials.
Seller reserves the right to suspend production, procurement, shipment, delivery or installation until all payment obligations have been satisfied.
Past due balances shall accrue interest at the lesser of 1.5% per month (18% annually) or the maximum rate permitted by Florida law.
Buyer agrees to reimburse Seller for all reasonable costs incurred in collecting unpaid amounts, including attorney’s fees, court costs and collection expenses.
If payment is made by credit card, Seller reserves the right to charge the applicable credit card processing fee unless otherwise agreed in writing.
4. PRICING
Seller’s pricing is based upon manufacturer pricing, freight costs, tariffs, customs duties, exchange rates and governmental regulations existing on the date of Seller’s Proposal.
Should any of these costs increase prior to shipment due to circumstances beyond Seller’s reasonable control, Seller reserves the right to adjust the purchase price upon providing reasonable documentation of such increases.
Such adjustments shall not constitute grounds for cancellation.
5. DELIVERY, EXPORT SALES & RISK OF LOSS
Estimated production and delivery dates are provided as a courtesy only and are not guaranteed.
Seller shall not be responsible for delays resulting from manufacturer production schedules, transportation delays, port congestion, customs inspections, labor shortages, weather events, governmental actions, force majeure events or any circumstance beyond Seller’s reasonable control.
For shipments outside the United States, Seller’s responsibility ends upon delivery of the materials to Buyer’s designated freight forwarder, warehouse or common carrier within the United States.
Delivery to Buyer’s designated freight forwarder shall constitute delivery to Buyer.
Buyer assumes all responsibility, thereafter, including export documentation, customs clearance, ocean freight, marine insurance, import duties, taxes, destination handling, storage and final delivery.
Risk of loss transfers immediately upon delivery to Buyer’s jobsite, warehouse, contractor, freight forwarder, common carrier or any other receiving party designated by Buyer.
Title to the materials shall remain with Seller until payment has been received in full.
6. INSPECTION OF MATERIALS
Buyer shall inspect all materials immediately upon receipt.
Any visible shortage, shipping damage or discrepancy must be reported to Seller in writing within forty-eight (48) hours of delivery.
Any manufacturing defect must be reported within seven (7) calendar days and, in all cases, prior to installation.
For export shipments, Buyer shall inspect or cause its designated freight forwarder or representative to inspect, the materials prior to export from the United States.
Installation of any material shall constitute Buyer’s complete acceptance of the product and waiver of any claim that reasonably could have been discovered prior to installation.
7. NATURAL WOOD CHARACTERISTICS
Buyer understands that hardwood flooring is a natural product and that variations in color, grain, texture, mineral streaks, knots, sapwood, heartwood, checking, finish absorption, sheen, board length and overall appearance are inherent characteristics of natural wood and shall not constitute defects.
Samples, showroom displays, photographs, renderings and mock-ups are intended solely as general references and are not exact representations of the delivered materials.
Where custom stain colors are produced, Seller cannot guarantee an exact match to previous orders, photographs, digital images, aged flooring or samples viewed under different lighting conditions. Reasonable commercial variation is inherent in custom wood finishing and shall not constitute a defect.
8. JOBSITE CONDITIONS & INSTALLATION
Buyer is solely responsible for ensuring that the building is enclosed, HVAC systems are fully operational, and temperature, humidity, moisture content and subfloor conditions comply with applicable manufacturer recommendations before delivery or installation.
Seller shall not be responsible for expansion, contraction, cupping, warping, checking, cracking, adhesive failure, finish performance or any other condition resulting from improper jobsite conditions, structural movement, moisture intrusion, plumbing leaks, roof leaks or work performed by others.
Where Seller provides installation services, such work shall be performed in accordance with generally accepted industry standards and applicable manufacturer guidelines. Normal seasonal movement and acceptable industry tolerances shall not constitute defective workmanship.
9. WARRANTY & LIMITATION OF LIABILITY
Seller provides no independent warranty except as expressly stated in writing.
Any product warranty shall be solely that provided by the original manufacturer.
To the fullest extent permitted by law, Seller disclaims all implied warranties, including warranties of merchantability and fitness for a particular purpose.
Seller’s total liability under any circumstance shall not exceed the amount actually paid to Seller for the specific materials or services giving rise to the claim.
Under no circumstances shall Seller be liable for labor costs, removal, reinstallation, temporary flooring, project delays, storage expenses, financing costs, hotel expenses, loss of use, loss of profits, consequential damages, incidental damages, special damages or damage to other property.
10. STORAGE
If Buyer requests that shipment be delayed after the materials are available for delivery, Seller may require payment in full prior to storage and may transfer the materials to a third-party warehouse.
Buyer shall be responsible for all storage, transportation, handling, insurance and related costs incurred.
Materials remaining unclaimed for more than ninety (90) days after written notice of availability may, at Seller’s option, be deemed abandoned and resold without further notice. Buyer shall remain responsible for any deficiency together with all associated costs.
11. GOVERNING LAW
These Terms of Sale shall be governed exclusively by the laws of the State of Florida.
Any litigation arising out of this Agreement shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.
The prevailing party shall be entitled to recover its reasonable attorney’s fees and costs.
